1. These General Terms and Conditions (Terms) govern the participation of natural or legal persons ("Referral Partners") in the referral and brokerage programme operated by BEX GmbH via a mobile app.
2. The Referral Partner submits, via the app, contact details of prospective customers who may potentially conclude a care or assistance contract with Betreuung24 Sp. z o.o.
3. The activity of the Referral Partner is strictly limited to forwarding contact details of potential prospects ("tip-giver model").
4. Advising prospects, conducting contract negotiations or concluding contracts on behalf of BEX GmbH or its cooperation partners is not part of this activity.
5. BEX GmbH does not owe any specific brokerage success.
1. The contract is concluded as soon as the user accepts these Terms during registration or use of the app by clicking the corresponding button.
2. A separate written form is not required.
1. For each prospect who, as a result of a proper referral by the Referral Partner, concludes a commission-eligible contract, the Referral Partner receives a commission. The amount of the commission is determined by the level applicable to the Referral Partner at the time (Starter / Pro / Ambassador) in accordance with the commission overview published in the app. The commission overview forms part of these Terms.

3. Only commission-eligible contracts are taken into account for commissions, level classifications and bonus payments.
1. The classification of the Referral Partner into a level takes place automatically based on the commission-eligible referrals recorded and recognised in the system.
2. The level reached at any given time applies exclusively to future referrals; no retroactive adjustment is made.
3. Bonus payments for first-time achievement of a level (Pro / Ambassador) are granted on a one-off basis only.
4. The specific commission amounts and bonus amounts are set out in the commission overview applicable at the time of referral.
1. The commission overview governs in particular the amount of the commission,
and is made available in the app.
2. BEX GmbH is entitled to adjust the commission overview with effect for future referrals, provided there is an objective reason (e.g. market changes or adjustments to partner remuneration).
3. Changes will be displayed in the app at least two weeks before they take effect.
4. The Referral Partner may terminate the contract within this period for cause without observing any further notice period.
5. There is no entitlement to the maintenance of a particular commission level for future referrals.
No commission entitlement exists in particular in the case of
1. No commission entitlement exists where the Referral Partner submits themselves, members of their household, family members or economically affiliated companies as prospects.
2. BEX GmbH is entitled to exclude such referrals from commission.
If a prospect is submitted by several Referral Partners, a commission entitlement arises exclusively for the Referral Partner whose referral was first fully registered in the system.
No commission entitlement exists if the submitted prospect was already previously registered in the system of BEX GmbH or one of its cooperation partners.

2. BEX GmbH is entitled to reject referrals or refuse commissions where there are indications of

If a commission-eligible contract that has already been taken into account is cancelled or rescinded within 30 days after the start of care, any commission or bonus payment granted in respect of it may be corrected or reclaimed. The correction may also be made by offsetting against future commission claims.
BEX GmbH is entitled to review submitted prospects for completeness, plausibility and seriousness.

Commission claims must be asserted within three months of receipt of the respective credit note. Once this period has elapsed, statements are deemed approved.
Settlement is carried out using the credit note procedure pursuant to § 14(2) sentence 2 UStG (German VAT Act). Objections to a statement must be submitted within 14 days.
1. The Referral Partner undertakes to engage in lawful advertising and to provide truthful information.
2. Inadmissible forms of advertising, in particular unauthorised telephone, e-mail or mass advertising, are prohibited.
3. The Referral Partner may transmit personal data of prospects only if a valid consent pursuant to Art. 6(1)(a) GDPR has been obtained beforehand.
4. The Referral Partner confirms that the prospect has expressly consented to being contacted by Betreuung24 or its partners.
5. Until the data is transmitted, the Referral Partner is the sole controller within the meaning of the GDPR.
6. Only data necessary for making contact may be transmitted. The transmission of special categories of personal data (Art. 9 GDPR), in particular health data, is prohibited.
7. The Referral Partner shall indemnify BEX GmbH against all claims arising from data protection breaches by the Referral Partner.
1. The app may be used exclusively for participation in the referral programme.
2. Abusive use is prohibited.
3. User accounts may be suspended or deleted in the event of significant or repeated breaches of these Terms.
4. In the event of serious breaches of duty, suspension is also permissible without prior notice.
5. Commission claims that have already arisen remain unaffected, provided they are not based on the breach.

1. The contract may be terminated by either party at any time with one month's notice.
2. Termination may be effected by e-mail or via a function in the app.
3. Amendments to these Terms will be displayed in the app and shall be deemed accepted as soon as the user agrees to continued use.
1. The activity may be classified for tax purposes as a private or commercial activity.
2. The Referral Partner is responsible for the proper tax declaration of their income.

4. After transmission of a prospect, BEX GmbH becomes an independent controller within the meaning of the GDPR.

3. In the case of simple negligence, BEX GmbH is liable only for the breach of material contractual obligations.
